Terms of Service
Last updated September 3, 2026
These Terms of Service (“Terms”) govern your access to the Ashlar Calls website and any live inbound call delivery services provided by Ashlar Calls LLC (“Ashlar Calls”, “we”, “us”). By using the site or submitting an application, you agree to these Terms. If you do not agree, do not use the site or our services.
01Who may use the services
Our services are offered to businesses and licensed professionals only. You must be at least 18 years old and authorized to bind the company you represent. You are responsible for the accuracy of the information you submit, including your vertical, licensure, and the states and hours in which you may accept calls.
02Description of services
Ashlar Calls LLC delivers live, consumer-initiated inbound phone calls to buyers. Services may include tracking number provisioning, call filtering and routing, reporting, and support. Specific volumes, filters, pricing, and billable duration are agreed in a separate order form, insertion order, or written confirmation between the parties, which controls if it conflicts with these Terms.
We do not guarantee any specific volume of calls, conversion rate, revenue, or return on spend. Sales outcomes depend on your team, scripts, licensure, and staffing.
03Applications and quotes
Submitting an application does not create a contract or obligate either party. Onboarding begins only after we confirm scope in writing and, where applicable, receive your first payment or deposit.
04Fees, billing, and refunds
- Unless otherwise agreed, calls are billed per qualified, connected call that meets the agreed filters and exceeds the agreed billable duration.
- Invoices are due on the terms stated in your order form. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law, and we may pause call delivery on non-payment.
- Billing disputes must be raised in writing within 7 days of the invoice date with supporting call detail. Undisputed amounts remain payable.
- Fees are exclusive of taxes. You are responsible for applicable sales, use, and similar taxes.
05Your compliance obligations
- You will handle every call and any consumer data you receive in compliance with all applicable laws and rules, including the TCPA, state telemarketing and mini-TCPA laws, Do-Not-Call requirements, HIPAA where relevant, CMS marketing rules for Medicare-related products, and applicable privacy laws.
- You will accept calls only in states and lines of business for which you and your agents are properly licensed and appointed.
- You will not misrepresent your identity, affiliation, products, pricing, or government or carrier association on any call.
- You are solely responsible for your own call recording disclosures, scripts, consent capture, and record retention.
06Acceptable use of the website
You may not scrape, reverse engineer, overload, probe, or interfere with the site or its security, submit false information, upload malicious code, or use the site to send unlawful, deceptive, or infringing content. We may suspend access for suspected misuse.
07Intellectual property
The site, its content, branding, and underlying materials are owned by Ashlar Calls LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the site for evaluating and using our services. All other rights are reserved. You retain ownership of your own marks and content and grant us a limited license to use them as needed to provide the services.
08Confidentiality
Each party will protect the other party’s non-public business information, pricing, and call data, use it only to perform under these Terms, and disclose it only to personnel and service providers bound by comparable obligations or as required by law.
09Third-party links and services
The site may link to or rely on third-party services, including telephony, analytics, and advertising platforms. We do not control and are not responsible for third-party content, policies, or practices. Your use of a third-party service is governed by that provider’s terms.
10Disclaimer of warranties
The site and services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and any warranty regarding call quality, lead intent, or results.
11Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or goodwill. Our aggregate liability arising out of or relating to the site or services will not exceed the fees you paid to us in the three months preceding the event giving rise to the claim.
12Indemnification
You will defend, indemnify, and hold harmless Ashlar Calls LLC and its officers, employees, and contractors from claims, damages, penalties, and expenses (including reasonable attorneys’ fees) arising from your use of the services, your calls and scripts, your handling of consumer data, your licensure or lack thereof, or your breach of these Terms or applicable law.
13Term, suspension, and termination
Either party may terminate a call flow with written notice as specified in the applicable order form. We may suspend or terminate delivery immediately for non-payment, suspected non-compliance, fraud, or conduct that creates legal or reputational risk. Amounts accrued before termination remain payable.
14Governing law and disputes
These Terms are governed by the laws of the State of Texas, excluding its conflict of law rules. The parties will attempt to resolve disputes in good faith for 30 days. Unresolved disputes will be brought exclusively in the state or federal courts located in Texas, and each party consents to that jurisdiction and venue.
15Changes to these Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes take effect 14 days after posting for existing partners. Continued use of the site or services after the effective date constitutes acceptance.
16Buyer Agreement — definitions
This section (the “Buyer Agreement”) governs the relationship between Ashlar Calls LLC (“Company”) and any buyer, business, or individual (“Buyer”) that opens an account or campaign with us to receive live inbound consumer calls (“Calls”).
- “Platform” means the Ashlar Calls website, buyer portal, tracking numbers, routing, and related technology we use to deliver and bill Calls.
- “Credits” means prepaid amounts purchased by Buyer by card or other approved payment method and applied to the purchase of Qualified Calls.
- “Qualified Call” means an inbound Call that meets the campaign criteria for duration, buffer time, geography, vertical, and other requirements set by Company and disclosed in the campaign details.
- “System of Record” means Company’s tracking and reporting system, which is the final and binding source of truth for call duration, buffer compliance, and billing determinations.
Consumer expectations and qualification responsibility. Calls originate from real consumers responding to advertising across the broader digital advertising ecosystem. Callers may begin conversations with varying levels of understanding, terminology, or assumptions about the products they are calling about. Buyer is solely responsible for promptly clarifying consumer intent, setting accurate expectations, and determining product fit during the campaign’s qualification buffer period. Variation in a caller’s initial understanding or expectations is not a defect, misroute, or invalid Call.
17Buyer account and eligibility
- Buyer represents that it is a duly organized and authorized business entity or individual with full power to enter into this Agreement.
- Buyer will use the Platform only for lawful business purposes and in compliance with all applicable federal, state, and local laws, including the TCPA, the Telemarketing Sales Rule, Do-Not-Call rules, HIPAA where applicable, CMS regulations where applicable, and state licensing requirements.
- All Calls delivered are consumer-initiated inbound calls. Buyer shall not use data obtained through the Platform for outbound dialing, remarketing, or retargeting without documented consent.
18Payments and credits
- Credit purchases. Where a campaign runs on prepaid terms, Buyer must first purchase Credits by valid card or another payment method we approve. Credits are held in Buyer’s account balance (“Wallet”).
- Use of credits. Credits are deducted from the Wallet for each Qualified Call at the per-call rate stated in the campaign details.
- Replenishment. Buyer may replenish the Wallet manually at any time or enable auto-replenishment, in which case Credits are purchased automatically when the balance falls below the threshold Buyer sets.
- Finality. All Credit purchases are final and non-refundable, except for (a) a technical error solely attributable to Company, or (b) Calls approved for return under the return and dispute policy below.
- No cash value. Credits have no cash value, may not be redeemed for cash, transferred, or resold, and may expire twelve (12) months after purchase unless otherwise required by law.
- Qualification buffer. Each campaign includes a clearly disclosed qualification buffer period so Buyer has time to evaluate consumer intent, clarify eligibility, and determine suitability before a Call becomes billable. Calls that exceed the buffer are deemed accepted as Qualified Calls and are billable at the campaign rate, regardless of the caller’s initial assumptions or level of understanding at the start of the Call.
19Return and dispute policy
- Buyer may request that a Call be deemed invalid only for: (a) a disconnected or invalid number; (b) a duplicate call that already converted within thirty (30) calendar days; (c) a wrong vertical or obvious misroute; or (d) a non-human or spam call.
- Return requests must be submitted through our dispute process within seven (7) calendar days of the Call.
- Company retains sole discretion to approve or reject return requests, and its decisions are final.
- Expectation-based disputes excluded. Calls are not eligible for return, credit, or dispute solely because a consumer began the Call with incomplete, inaccurate, or differing assumptions about products, pricing, eligibility, or program structure. Such variation is inherent in live inbound call traffic and is contemplated by the qualification buffer. Dissatisfaction with a Call outcome or conversion rate is not grounds for return or dispute.
20Fraud and prohibited conduct
- Buyer shall not intentionally terminate Calls before the buffer period and then re-contact the consumer outside the Platform.
- Buyer shall not re-route, resell, or redistribute Calls or consumer information obtained through the Platform.
- Buyer shall not circumvent the Platform or otherwise engage in conduct intended to avoid payment for Qualified Calls.
Violation of this section is a material breach and may result in immediate suspension or termination of Buyer’s account, forfeiture of all unused Credits, and pursuit of legal remedies.
21Dispute resolution process
- All disputes concerning Calls, Credits, billing, or returns must be submitted through Company’s official dispute process (the “Dispute Process”), following the procedures and timelines it specifies, as the exclusive mechanism for handling such disputes.
- Company will review each dispute and make a determination in its sole discretion, which is final and binding.
- Buyer agrees to provide call recordings, business records, or other reasonable information we request in connection with a dispute. Failure to cooperate may result in denial of the dispute.
22Chargebacks
- Buyer agrees not to dispute or initiate chargebacks for valid card charges associated with Credits or Qualified Calls.
- In the event of a chargeback, Buyer remains liable for the underlying amount, all associated fees, and Company’s collection costs, including reasonable attorneys’ fees.
- Initiating or threatening a chargeback is a material breach. Company may immediately suspend or terminate any account involved in chargeback activity, and all unused Credits may be forfeited.
23Data use, recording, and confidentiality
- Buyer shall use consumer data obtained through the Platform solely to respond to that consumer’s inquiry, and shall not sell, share, improperly store, or otherwise misuse consumer information.
- Buyer shall implement reasonable security measures to protect consumer data in compliance with applicable privacy laws, including the FTC Act and, where applicable, state privacy statutes such as the California Consumer Privacy Act and the Texas Data Privacy and Security Act.
- Buyer agrees to review and comply with our Privacy Policy, which describes our data handling practices.
- Call recording compliance. Buyer is solely responsible for complying with all applicable federal and state call-recording laws. In two-party consent states, Buyer must provide audible notice that the call may be recorded before recording begins.
- Company recording rights. Company may record Calls routed through the Platform. Buyer agrees that Company owns those recordings and may use them for quality assurance, dispute resolution, agent training and education, product development, and marketing, including creating de-identified sample Calls shared with other buyers for training. Company will remove or mask personally identifying information from any recording distributed to other buyers.
- Sample call license. When Company provides a sample Call to Buyer, Company grants a limited, non-exclusive, revocable license to use that recording solely to train Buyer’s own agents. Buyer shall not republish, resell, redistribute, or share the recording outside Buyer’s organization. Company may revoke this license at any time.
- Company’s recording rights survive termination of this Agreement.
24Buyer account termination
- Company may suspend or terminate Buyer’s account at any time, with or without notice, for: (a) non-payment or chargebacks; (b) fraudulent or abusive practices; or (c) violation of law or this Agreement.
- Upon termination, all unused Credits are forfeited.
- Company may temporarily suspend access to investigate a potential compliance or regulatory issue or to respond to a government inquiry.
25Buyer indemnification and liability cap
Buyer agrees to indemnify, defend, and hold harmless Company, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Buyer’s breach of this Agreement; (b) Buyer’s violation of applicable law; or (c) Buyer’s misuse of consumer data or fraudulent activity.
Company is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost opportunities, or reputational harm. Company’s total aggregate liability under the Buyer Agreement will not exceed the amount of Credits or fees paid by Buyer in the ninety (90) days immediately preceding the event giving rise to the claim.
26Entire agreement and acceptance
The Buyer Agreement, together with these Terms and any applicable order form or campaign details, is the entire agreement between Company and Buyer on this subject and supersedes all prior agreements, understandings, or representations. By submitting an application, accepting call delivery, or clicking “I agree” during onboarding, Buyer acknowledges that it has read, understood, and agrees to be bound by these terms.
